PAY-HUB.IO USER AGREEMENT

This User Agreement is a public electronic agreement between you (hereinafter referred to as the User) and the PAY-HUB.IO Service (hereinafter referred to as the Service, Platform, System or PAY-HUB.IO).

PAY-HUB.IO is represented by several of its companies registered in different jurisdictions to work with local banks and acting in accordance with local laws. It also has agreements with other companies and banks providing certain services collected within the framework of this site.

Depending on the context, PAY-HUB.IO may also refer to various services, products, website, content or other materials provided by PAY-HUB.IO. The text of this Agreement posted on the website HTTPS://PAY-HUB.IO contains all the essential terms of the public offer of the PAY-HUB.IO Service. By using the site https://PAY-HUB.IO, the User agrees to unconditionally accept this User Agreement.

PAY-HUB.IO and the User have entered into this User Agreement on the terms and conditions set out below:

1. TERMS AND DEFINITIONS

In this User Agreement, the listed terms have the following meanings, unless otherwise indicated in the text:
'Virtual Card' - a functional part of the System that provides access to work and data exchange with partner banks that issue card data, designed to account for the User's fiat Funds and transactions with them.
'Crypto wallets' is a functional part of the System designed to account for the User's crypto funds and operations with them.
'User's e-wallet balance (Balance)' is a summary of the difference between all incoming and outgoing operations to manage Title Units.
'Balance of the User's virtual or physical cards (Balance)' is a summary of the difference between all incoming and outgoing transactions for the management of Title Units and or data on the current balance on the User's account in a partner bank in the currency of the card.
'User's Personal Account Data' - the User's data required for registration and access to the User's Personal Account and use of the Site - login, password, email address and other data specified during the registration process, as well as after its completion.
'Electronic token rate on the Site' - the number of Title Units of one electronic token listed on the Service required for exchange for one Title Unit of another electronic token listed on the Service, and vice versa.
'Personal Account' - a set of secure pages created as a result of the User's registration on the Site, with the help of which the User has the opportunity to perform operations, transactions and keeps track of activity on the Service.
'User' is a legally capable natural person registered on the Site in accordance with this User Agreement and granted access to the Personal Account.
'Deal' - an agreement on the alienation of rights to title units, concluded between the Users of the Service.
'Site' - a collection of information, texts, graphic elements, design, images, photos and videos and other results of intellectual activity, as well as software that provides access to such information on the Internet at https://PAY-HUB.IO.
'Service, Platform, System' is a software package of the System that provides the User with a single interface and the technical ability to manage their balances, Orders, Applications and crypto wallets.
'Title units' are units of accounting for electronic tokens, as well as the equivalent of Fiat money in the Service system.
'Electronic tokens' - digital currency and tokens that do not have a single centralized issuer and are distributed directly between the holders of such currencies and tokens (for example: BTC, USDT, etc.).
'Fiat money' - currencies issued by states, defined at the legislative level as legal tender in the country of their issue.
'Merchant' - a functional part of the System, designed to record the Electronic Tokens accepted in favor of the User and operations with them.
'Order' - the User's offer to conclude a Transaction with other users or the Platform for the exchange of Title Units on certain conditions.
'Exchange' - the User's offer to conclude a Deal with the Platform for the exchange of Title Units on certain conditions.
'p2p transactions' – a functional part of the System intended for submitting Orders by the User and conducting Transactions with them.
The headings (articles) of the User Agreement are for convenience only and in no way affect the meaning or interpretation of the User Agreement.

2. SUBJECT OF THE AGREEMENT
2.1 The subject of this agreement is the provision of the Service, which allows the User to:
Access to the System for Transactions.
Access to the System for Transactions.
Access to the Site, as well as to the Personal Account and Accounts in the System.
Based on this Agreement, PAY-HUB.IO may also provide other services that are defined in the Agreement and / or which will be available on the Site or in the System, and also reserves the right to choose the markets and jurisdictions in which it operates, and may also limit or deny the Service in certain countries at its sole discretion.
2.2 The User understands and agrees that PAY-HUB.IO is not a party to transactions, does not provide financial services, and does not provide services for storing, transferring, exchanging Fiat money and Electronic tokens. All transactions within the Service are carried out directly between Users or using secure interbank protocols between the user and the bank.
3. ACCESS TO THE SERVICE AND REGISTRATION
3.1 The service is provided exclusively to persons who have reached the age of majority, in accordance with the laws of their country of residence. Using the Service, the User confirms that he has reached the age of majority and can independently perform actions.
3.2 The User may only act on his own behalf and may not use the Service as an intermediary or broker for another person or entity.
3.3 Depending on the place of residence / registration / entrance, the User may be deprived of the opportunity to use the Service and / or the Service will not provide the Services.
Please note that our Services are not available in every country. In particular, they are not provided:
Citizens or residents of countries that have been blacklisted by the FATF.
Citizens and / or residents of the United States of America, Canada (including Ontario and Quebec), as well as legal entities in which the share of a citizen and / or resident of the United States is 10% or more.
Citizens and/or residents of Japan.
Citizens and/or residents of the Marshall Islands.
Depending on the place of residence/registration/login of the User, there may be other factors that will limit him/her in the use of all or part of the Services. The User himself is responsible for compliance with the relevant Laws in force in the territory of his residence (registration) and / or the territory of his stay, from which the Site is accessed and the Service is used.
3.4 To register on the Site, which is carried out at: https://PAY-HUB.IO/register.php, the User must provide his current email and enter his password. Registration is considered completed after confirmation (verification) of the e-mail address and receipt of notification of successful registration on the Site.
3.5 The User is obliged to ensure the security and safety of the password and data of the Personal Account. In case of loss of the password and / or data of the Personal Account, as well as in the event that third parties obtain illegal and / or unauthorized access to the Personal Account, the User is obliged to immediately inform the PAY-HUB.IO support service about this. As well as independently block their virtual cards in your account.
3.6 The data of the User's Personal Account must not contain misleading or false information. Providing false information for the User's Personal Account or providing false identification documents is prohibited. If PAY-HUB.IO has doubts that the data is correct, up-to-date or incomplete, PAY-HUB.IO has the right to refuse the User access to the Service or its individual parts and terminate or suspend access to the User's Personal Account.
3.7 The User does not have the right to sell, lend, use or otherwise provide his Personal Account or any data necessary to access his Personal Account to third parties.
The User is responsible for maintaining security and control over all his logins, passwords, two-factor authentication codes, PIN codes or any other data that the User uses to access the Service or uses offline. PAY-HUB.IO does not bear any responsibility for any losses of the User that are caused by unauthorized entry into the User's Personal Account, access of third parties to the user's password/Personal Account, access to data of issued cards and their CСV codes and other data, as well as for unauthorized use of cards by third parties.

3.8 PAY-HUB.IO may ask the User to confirm his identity in order to access the Service. Verification may include e-mail verification, verification of the User's identity documents, confirmation of the User's residential address and a photo with a document in hand.
3.9 Access to some products of the Service is possible without registration, identity confirmation and verification.
4. LIMITATION OF LIABILITY
4.1 Limited warranties
PAY-HUB.IO provides the Site, the Service, its components, interfaces, any related equipment, any documentation, data and other materials on an "as is" and "as available" basis with all faults. Neither the PAY-HUB.IO Party nor the Third Party Provider grants to you (and the PAY-HUB.IO Party hereby excludes) any express or implied warranty of fitness for a particular purpose, non-infringement, or any warranty that may arise. from the method of implementation, the conclusion of tenders or the customs of business turnover.
PAY-HUB.IO makes no representations or warranties as to the timeliness, accuracy or completeness of any Data or other information in the System, or as to the results you obtain when you access or use the System. The PAY-HUB.IO Party shall not be liable in any way for claims related to any software, any technology, any equipment, System, existing technology, Data or any other information, materials, Currency or that the System meets Your requirements or that access to it must be uninterrupted, timely, secure, complete, accurate, free of errors and defects.
You acknowledge that the software and hardware used by you may not support some features of the System.
4.2 To the extent permitted by law, PAY-HUB.IO excludes all warranties, warranties, conditions, representations and liabilities. The System does not bear any responsibility for the work of third-party or partner services that provide services for the System, for the safety of deposits or balances in these services, for any actions of these services resulting in losses or any other actions.
4.3 By performing an operation, the User agrees and independently bears all the risks of making transactions. No claims can be made against the Service regarding the cancellation of operations. The Service does not accept or process requests for refunds and/or cancellations of operations.
4.4 The Service does not restore and return to Users erroneously sent cryptocurrency deposits or fiat transactions from cards. In some cases, the Service may refund cross deposits solely at its own discretion. The rules for the return of erroneously credited deposits are posted on the Site under the section - CROSS-CHAIN Policy. Negotiated fees apply for refunds or cancellations of card transactions.
4.5 PAY-HUB.IO shall in no event be held liable for any incidental, punitive, special or consequential damages, any loss of profits, lost data, loss of ability to use the System, business downtime, loss of goodwill, replacement service costs or downtime incurred by the User, the User's Affiliates and any other Person as a result of entering into or in connection with this Agreement, even if the User, the User's Affiliate or other Person has previously been advised of the possibility of such a loss.
4.6 Notwithstanding any other provision of this Agreement, the aggregate liability of the PAY-HUB.IO Party for any losses incurred by the User, the User's Affiliates or any other Persons for any reason related to or arising from this Agreement or the use of the System or otherwise related to The System, regardless of the method or procedural form of recovery, is limited to the amount of commission determined by the Tariffs and paid by the User in favor of PAY-HUB.IO for all Services provided to the User for 3 (three) months before the occurrence of the event that entailed liability .
5. RISK WARNING
5.1 By accepting the User Agreement, the User acknowledges and accepts any risks associated with transactions, agrees to be bound by the User Agreement and acknowledges and accepts the following and any other risks.
5.2 The User guarantees that he/she is aware of the basic principles of working with Cryptocurrencies, as well as the characteristics of Cryptocurrencies that affect their value, and is also aware of the risks associated with this, in particular, volatility and fluctuations in their value. And the basic principles of working with prepaid virtual and physical bank cards are also known.
5.3 When trading on the Site or in the System, system errors may occur due to hardware and/or software failures or other circumstances. The result of any failure may be failure to execute in accordance with the instructions of the User, or execution of Orders and/or Orders with errors, or incorrect display of balances. PAY-HUB.IO is not responsible for errors and / or balance display, reserving the right to make the necessary corrections.
5.4 There may also be additional risks that have not been foreseen or defined in this Agreement.
6. DAMAGES
6.1 User agrees to defend, indemnify and hold harmless PAY-HUB.IO, its affiliates and respective employees, officers, directors, shareholders and beneficiaries from any and all damages to property resulting from personal injury, death or other injury related to the negligence or misconduct of the User or any person for whom the User is legally responsible.
7. CHANGES PAY-HUB.IO has the right to unilaterally change this User Agreement. The changes come into force 3 (three) days after the publication of the new version of the relevant documents on the Site. If the User does not agree with the new version of the User Agreement, he/she must stop using the Site.
8. TERMINATION
8.1 The User agrees that PAY-HUB.IO has the right to immediately terminate access to the Personal Account, block any funds on the User's accounts and suspend access to the Service in the following cases:
If there is any suspicion or fact of violation of the User Agreement, the Privacy Policy or any applicable laws and regulations.
The Personal Account and the activities of the User associated with it have become the subject of a criminal investigation or other judicial and administrative proceedings.
Unusual or suspicious activity was detected in the Personal Account.
In case of establishing the fact of unauthorized access to the Personal Account.
PAY-HUB.IO is obliged to do this by a court decision or by order of an authorized executive body.
If the User refuses to undergo verification at the request of the System.
8.2 If access to the User's Personal Account is terminated, then Personal Data and data on all transactions will be stored for five years.
8.3 If access to the User's Personal Account is closed in the usual mode and without violating the User Agreement or on the basis of the cases specified in clause 8.1 of the User Agreement, the User is given 5 business days to withdraw all funds.
To withdraw funds, you must write a message to technical support from a verified e-mail address when registering an account, indicating the details and withdrawal method (they must completely match the details and replenishment method).
8.4 In case of termination of the User Agreement due to its violation by the User (including, but not limited to, the use of the Service by persons from the sanctions list provided for in clause 3.3 of the User Agreement), or as part of the investigation of fraudulent transactions and the fight against money laundering, the Service will cancel the data of the User's Personal Account, and has the right to impose a fine on the amount of the entire balance of funds held in the User's Personal Account.
9. WARNING ABOUT ILLEGAL USE of the Site, System or Service.
By accessing the System or using the Services or the Site, you agree that you will comply with and comply with all laws, contracts, intellectual property rights or other rights of third parties and will not commit offenses and that you alone are responsible for your actions when use of our Services in the System. Without limiting the foregoing, you agree that you will not:
Use our Services to disrupt, adversely affect or prevent other Users from fully enjoying our Services, or in any way damage, disable, overburden or disrupt our Services.
Use our Services to pay for, support or otherwise engage in any illegal activities, gambling, fraud, money laundering, terrorist activities.
Use any robots, bots, crawlers, scrapers or other automated means or interfaces that have not been provided by us to access our Services or to extract data.
Use or attempt to use the Personal Cabinet or Account of another User if You are not a Representative of such other User.
Attempt to bypass or attempt to access any service or area of ​​our Services, Site or System to which you are not authorized to access.
Develop and use any third-party applications, scripts, etc. that interact with our Services without obtaining our prior written consent.
Provide false, inaccurate or misleading information.
Advertise products on the Site without concluding an additional special agreement between you and the Service.
Encourage or induce any third party to engage in any activity prohibited under this Section 9 of the Agreement or prohibited by law.
10. PERSONAL DATA OF USERS
The rules for collecting, storing, distributing and protecting personal data received by PAY-HUB.IO from Users are governed by the Privacy Policy.

11. PRIVACY AND DISCLOSURES
11.1 Privacy
You agree that you will keep secret and maintain the confidentiality of any Confidential Information relating to the Service or Service Affiliates obtained in connection with this Agreement or any investigations conducted in connection with this Agreement, and, if applicable, You will also ensure that such obligation is met by Your officers, employees and consultants to whom such information has been disclosed.
11.2 Disclosure of user information
The Service will not share or otherwise transfer information about the Users of the Site and / or the System, with the exception of its Representatives in the course of normal activities, as well as for the purposes of implementing banking or credit relations.
The Service may transfer Your Personal Data to law enforcement agencies, data protection authorities, State Authorities and services if:

12. FINAL PROVISIONS
12.1 Governing law and dispute resolution
This Agreement, any non-contractual obligations arising out of or in connection with this Agreement, and any pre-contractual matters shall be governed by and construed in accordance with the laws of the Marshall Islands.
12.2 In the event of disputes regarding the issues specified in this User Agreement, the Parties shall take all possible measures to resolve them through negotiations.
12.3 If the Parties fail to reach an agreement through negotiations, any dispute arising out of or relating to the User Agreement shall be adjudicated and finally resolved in accordance with the law of the Marshall Islands. The language of arbitration will be English.
12.4 The Parties irrevocably agree that information about the arbitration, including but not limited to information about the content of any arbitral award, is considered confidential and is not disclosed to third parties without the written consent of the Parties, unless required by law.
12.5 Recording data
You acknowledge and agree that any telephone conversations, correspondence, messages and other communications between you and the System, including calls to the technical support service, may, at the discretion of the System, be recorded with or without the use of an automatic sound alert device.
You irrevocably agree and authorize the System to use such records and any stored data as evidence in connection with any dispute or litigation that may arise on any matter arising under or in connection with this Agreement, the Services under this Agreement, any Order or transaction.
12.6 Except as otherwise provided by the User Agreement and applicable law, all notices, messages and documents related to the fulfillment of obligations arising from the User Agreement must be sent and considered received by the Parties if they were sent by e-mail from the authorized address of one of the Parties to authorized address of the other Party.

12.7 This User Agreement is valid until terminated by one of the parties. The User may terminate this User Agreement at any time by ceasing to use the Service and deleting all copies of any components of the Service from all of their devices and equipment.
PAY-HUB.IO, at its sole discretion, with or without notice to Users, may unilaterally terminate this User Agreement.
12.8 If any part of the User Agreement is held invalid or unenforceable under applicable law, the remaining parts will remain in full force and effect.

4. USER RIGHTS
Users have the following rights in relation to their personal data:

5. SECURITY AND RETENTION OF PERSONAL DATA
PAY-HUB.IO will store users' personal data for as long as necessary to fulfill the purposes described in this Policy, as well as for as long as required by applicable law.
Any personal data retention period may be extended if such personal data is subject to a formal request, proceeding or legal obligation, a government investigation or an investigation into possible violations of the User Agreement, and in other cases to prevent possible harm based on reasonable necessity.

7. POLICY CHANGE
PAY-HUB.IO has the right to unilaterally change this Policy. The changes come into force 3 (three) days after the publication of a new version of the relevant document on the Site. If the User does not agree with the new version of the Policy, he/she must stop using the Site.

This document is an Anti-Money Laundering (AML)/Terrorist Financing Prevention Policy and a Know Your Customer - KYC Policy (hereinafter referred to as the Policy) designed to prevent and mitigate the possible risks of PAY-HUB.IO being involved in any illegal activity.
This Policy includes verification procedures and internal controls, transaction monitoring and risk assessment.
1. VERIFICATION OF USERS
1.1. In accordance with international and local regulations, PAY-HUB.IO implements effective internal procedures and mechanisms to prevent money laundering, terrorist financing, drug trafficking, human trafficking, proliferation of weapons of mass destruction, corruption and bribery and respond in case of any form of suspicious activity by their Users.
1.2. The identity verification procedure requires the User to provide PAY-HUB.IO with proper, authentic source documents, data and/or information. PAY-HUB.IO reserves the right to collect the User's personal data for the purposes of the Policy.
1.3. PAY-HUB.IO performs actions to confirm the authenticity of documents and information provided by Users.
To do this, all legal methods will be used to re-verify the User's information, with the right to investigate the actions of certain Users that were found to be risky or suspicious.
1.4. PAY-HUB.IO may check the identity of the User on a regular basis, in particular if his identification information has been changed or the User's activity has appeared suspicious.
1.5. PAY-HUB.IO may ask Users for the latest updated documents, even after passing identity verification.
1.6. User identification information will be collected, stored, transferred and protected in strict accordance with the PAY-HUB.IO Privacy Policy.
2. MONITORING PAYMENTS AND TRANSACTIONS
2.1 To prevent possible illegal transactions, PAY-HUB.IO requires that the sender of the payment be the same person as the recipient of the payment. Any payments to third parties are strictly prohibited.
2.2 PAY-HUB.IO may request from the User any additional information and documents in case of suspicious transactions or activities.
2.3 PAY-HUB.IO may identify activity as suspicious at its sole discretion.
2.4 PAY-HUB.IO may suspend or terminate a User's account if there is reasonable suspicion or evidence that such User is engaging in illegal activities.
2.5 PAY-HUB.IO may monitor all transactions and also reserves the right to report the suspicious nature of transactions to the appropriate law enforcement authorities through the Responsible Officer.
The above list is not exhaustive and the Internal Compliance Officer will monitor User transactions on a daily basis to identify suspicious transactions and report them or classify them as bona fide.
3. RISK ASSESSMENT
PAY-HUB.IO, in accordance with international requirements, uses the risk-based principle in the fight against money laundering and terrorist financing. This makes it possible to provide measures to prevent illegal activities in accordance with the identified risks. The principle is to prioritize resources so that the greatest risks receive the most attention.
